Novaland Membership Service Agreement

1.1 Service Provider

The operating entity of the Novaland Platform (hereinafter the "Platform") provides paid premium membership services to users.

1.2 Service Recipient

Users who complete registration and independently pay to activate membership (hereinafter the "User").

1.3 Definition of Membership Service

Membership Service refers to premium privileged services provided by the Platform for paying users, unlocking exclusive AI capabilities, privileges, interactive benefits, intimacy-level upgrade rewards, cosmetic permissions, and other features. The actual available benefits shall be subject to real-time content displayed on Platform pages.

1.4 Service Term

Membership validity follows the plan selected at the time of purchase (monthly or annual plan). It takes effect upon successful payment and system confirmation, and expires automatically at the end of the term. Membership privileges terminate automatically if not renewed.

2.1 Benefit Content

Specific premium membership privileges are subject to real-time display on Platform pages, including but not limited to:

• 1. Intimacy-point boost
• 2. Monthly virtual-currency grant
• 3. Long-memory conversations
• 4. AI avatar generation quota
• 5. Exclusive membership badge
• 6. Character performance animations
• Novianship benefits may evolve. We may add new virtual perks and will not arbitrarily remove your core acquired benefits.

2.2 Benefit Restrictions

• 1. Membership benefits are for the sole use of the account that purchased the membership. Transferring, sharing, renting, selling, assigning, or gifting benefits to other accounts is prohibited.
• 2. All membership benefits are online virtual assets, including digital-human privileges, intimacy-point boosts, AI memory, props, and other features. They carry no cash value and cannot be cashed out, exchanged, transferred, or traded offline. Except as explicitly stipulated in this Agreement, no refunds, cash equivalents, or returns will be provided.
• 3. Time-limited, campaign-specific, and holiday benefits are valid only during their respective event periods. They expire automatically upon end with no compensation or term extension.

2.3 Tier Rules

The Platform may set monthly and annual membership tiers according to operational needs. Different tiers grant distinct privileges. Users may voluntarily choose to upgrade or renew their membership.

3.1 Payment Rules

Membership services are prepaid premium services. Users shall pay for the selected plan in advance. Membership privileges for the corresponding term will be activated automatically by the system upon successful payment.

3.2 Auto-Renewal Instructions

• 1. By selecting an auto-renewal plan, you authorize the Platform to perform periodic payment deductions. The system will automatically renew and charge your payment method prior to expiry.
• 2. You may disable auto-renewal at any time via your device system settings, payment-provider portal, or Platform personal center. After disabling, existing membership privileges remain accessible until expiry, and no further automatic charges will occur.
• 3. No unconditional refunds shall be granted for renewal fees incurred due to your failure to disable auto-renewal in a timely manner.

3.3 Price Adjustment

The Platform reserves the right to adjust membership prices, plan contents, and promotional prices based on operational conditions. Adjustments take effect upon page publication and do not affect existing unexpired membership entitlements already purchased by users.

4.1 Non-refundable Scenarios

Refunds, cash equivalents, and compensation are not available under the following circumstances:

• 1. Membership has taken effect, been partially used, benefits have been claimed, or privileged features have been accessed.
• 2. Personal reasons including voluntary abandonment, account inactivity, lack of usage time, subjective dissatisfaction, or misaligned experience expectations.
• 3. Inability to use membership benefits resulting from user violations, account bans, muting, or functional restrictions imposed by the Platform.
• 4. An auto-renewal charge has been processed and current-term membership is active.
• 5. Exclusive AI digital-human benefits, once unlocked, used, or distributed, are non-refundable and non-compensatory.

4.2 Refund-Eligible Scenarios

• 1. Payment succeeded yet membership was never activated by the system, and no privileges have been consumed by the User.
• 2. Persistent Platform system failure rendering the corresponding membership service unavailable, as verified and confirmed by the Platform.

4.3 Refund Method

If refund conditions are met, refunds will only be issued to the original payment account. Cash disbursements, third-party transfers, or credits toward other orders are not supported.

5.1 User Undertakings

After activating membership, you shall not exploit membership privileges to engage in improper social interactions, malicious farming of AI-interaction metrics, bulk account registration, resale of virtual benefits, script or bot operations, harassment of other users, or any conduct violating local social norms and applicable laws and regulations in your jurisdiction.

6.1 Service Adjustment

The Platform reserves the right to adjust, upgrade, or discontinue membership benefits, interactive gameplay, and prop systems for reasons including AI-feature iteration, digital-human experience upgrades, compliance rectification, and product optimization. Changes take effect upon Platform-page publication without individual user notification and do not qualify for refunds.

In the event of material benefit reduction where core paid privileges are permanently removed with no viable alternative, the Platform may provide reasonable compensation measures at its sole discretion based on actual circumstances.

6.2 Service Interruption

Temporary service unavailability caused by system maintenance, server upgrades, network outages, regulatory requirements, or force-majeure events constitutes normal platform operation, does not amount to breach of contract, and is not eligible for refunds or compensation.

6.3 Service Termination

Membership services terminate automatically upon membership expiry, user-initiated account deletion, account ban for violations, or Platform service discontinuation.

7.1 Privacy Protection

The Platform strictly complies with privacy-protection laws and regulations to safeguard user recharge records, account data, and personal information. User private data will not be unlawfully disclosed or sold.

8.1 Agreement Updates

The Platform may revise this Agreement at any time. Revised terms take effect upon publication within the App. Your continued use of the service constitutes your acceptance of the updated Agreement.

9.1

Matters not covered by this Agreement shall be governed by publicly published Platform rules, campaign descriptions, and the Privacy Policy.

9.2

Should any provision of this Agreement be held invalid for any reason, the remaining provisions shall remain in full force and effect.

By purchasing, activating, or using membership services, you confirm that you have read, understood, and agreed to all terms of this Agreement.
